- 1.2We may amend these Terms at any time, by providing written notice to you or by advising you by notification on our Platform. - 2.2You understand that we only make available the Platform (The WiseList Services). We do not sell Items or provide shopping or delivery services, and we are not the supplier of the goods (or Items) that you are purchasing from the Stores. We do not accept any Liability for the Items supplied by the Stores, the goods or services provided by any other third party (including any Partner, as defined in clause 9), or any contract you enter into with them for the supply of these goods or services.

- (d)agree to use our Platform and accept our Services in accordance with these Terms.
- 2.4If you are a parent or legal guardian allowing a minor to access and/or use the Platform, you agree to: (1) supervise the minor’s use of the Platform, (2) assume all risks associated with, and liabilities resulting from, the minor’s use of the Platform, (3) ensure that the content on the Platform is suitable for the minor, (4) ensure all information submitted to us by the minor is accurate and (5) provide the consents, representations and warranties contained in these Terms on the minor’s behalf.
- 2.5We may suspend your Account or terminate these Terms immediately:

- (b)if you breach any provision of these Terms and that breach has not been remedied within 5 business days of being notified by us;
- (c)upon notice to you, if there is any reason outside our control which has the effect of compromising our ability to provide the Services;
- (d)upon notice to you, if you are unable to pay your debts as they fall due; or
- (e)if we advise you that we wish to cease offering The WiseList Services provided that we must give you 30 business days prior notice.
- 2.6Upon expiry or termination of these Terms:
- (a)you must cease using our Platform;
- (b)we will immediately cease providing The WiseList Services to you; and
- (c)you agree that any payments made by you to us are not refundable to you.
- 2.7You must not use our Platform, in any way that competes with or damages our business.
- 2.8You are responsible for your use of our Platform.
3. Conduct we do not accept
- 3.1We grant you a non-exclusive, royalty-free, revocable, worldwide, non-transferable licence to use our Platform in accordance with these Terms. All other uses are prohibited without our prior written consent.
- 3.2When you use our Platform and use The WiseList Services, we expect you to abide by a certain standard of behaviour. You must not do or attempt to do anything that is unlawful, which is prohibited by any laws applicable to our Platform or The WiseList Services, which we would consider inappropriate or which might bring us or our Platform or Services into disrepute. This includes:
- (a)using our Platform to engage in offensive or inappropriate conduct;
- (b)anything that would constitute a breach of an individual’s privacy (including uploading private or personal information without an individual’s consent or seeking to download personal images available on our Platform) or any other legal rights;
- (c)using our Platform to defame, harass, threaten, menace or offend any person;
- (d)interfering with any user of our Platform;
- (e)tampering with or modifying our Platform, knowingly transmitting viruses or other disabling features, or damaging or interfering with our Platform, including (without limitation) using trojan horses, viruses or piracy or programming routines that may damage or interfere with our Platform;
- (f)using our Platform to send unsolicited electronic messages;
- (g)facilitating or assisting a third party to do any of the above acts; or
- (h)downloading any information or images available on our Platform unless such information or image is specifically identified as a downloadable item on our Platform.
- 3.3We’ve designed our Platform for you to use it personally, and not on a commercial basis. You must not use our Platform, The WiseList Services or any of our content, for your commercial purposes.
- 3.4We may (in our sole discretion) terminate your Account and/or these Terms and ban you from using our Platform if you engage in conduct prohibited by these Terms.
4. Account Registration
- 4.1You are required to create an account (Account) in order to access the Platform’s features.
- 4.2To create an Account, you will be required to provide your name, email address, country and postcode (and your phone number, if you sign up with it). You must ensure that any personal information you give to us when creating an Account is accurate and up-to-date. All personal information that you give to us will be treated in accordance with our Privacy Policy.
- 4.3You may also register for an Account using Sign in with Apple (on iOS), or using your Facebook or other social media network account (Social Media Account). If you sign in to your Account using your Social Media Account, you authorise us to access certain information on your Social Media Account including but not limited to your current profile photo and other basic information such as your name and contact details.
- 4.4You agree to provide accurate, current and complete information during the registration process and regularly update such information to keep it accurate, current and complete. Your Account is personal and you must not transfer it to others, except with our written permission. It is your responsibility to keep your account details confidential. You are liable for all activity on your account, including purchases made using your account details.
- 4.5We may contact you via the Platform using in-Account notifications, push notifications or via off-Platform communication channels, such as text message, phone or email.
- 4.6Your Account and these Terms may be terminated by you at any time, using the ‘Remove account’ functionality (or similar) in the Help & Support section of our App.
5. Shopping and Suitability
- 5.1Our Platform may allow you to export your grocery list into a Store’s online cart (for example, for Click & Collect or delivery). Any order you then place is placed with the Store on the Store’s own website or app, for the price the Store charges at checkout, and is not placed with us.
- 5.2Each order you place with a Store results in a separate binding agreement between you and that Store for the supply of products in accordance with the Store’s terms. We are not a party to that agreement.
- 5.3It is your responsibility to check the order details, including selected Items and pricing, in the Store’s online cart before you submit your order to the Store. Some entries on your list (for example, ones you have typed in yourself) may not be sent to the Store’s online cart.
- 5.4Please be aware that some of the Items shown on our Platform, and some recipes, meal plans and meal ideas on our Platform, may not be suitable for your personal circumstances including for children under 18 years old, for pregnant women, for persons with underlying medical issues or persons with allergies. Please take extra care when buying products or preparing meals if you fall within one of these categories. It is your responsibility to check the suitability of a product you buy or a meal you prepare. To the maximum extent permitted by law (and subject to the Australian Consumer Law), we are not responsible for determining the suitability of any of the products or meals shown on our Platform and will not be liable to you for any lack of suitability.
6. Restricted Products
- 6.1Some Items shown on our Platform (including alcohol) are not suitable for, and must not be purchased by, or supplied to, persons aged under 18 years old.
- 6.2We do not sell or supply age restricted products. By sending an age restricted product to a Store’s online cart through our Platform, you warrant that you are at least 18 years old. The Store’s own terms, including any proof-of-age checks, apply to your purchase.
7. Price and payments
- 7.1You must pay the price of any paid product or service that you purchase from us, whether through our Platform, through the Apple App Store or Google Play, or through a payment link we send you, such as a WiseList+ Subscription or WiseList+ Lifetime as described in clause 16 (the Price), in accordance with this clause. Unless the Apple App Store or Google Play shows the price in another currency, all amounts are stated in Australian dollars and are inclusive of Australian GST (where applicable).
- 7.2You must pay the Price using one of the methods set out on our Platform, such as in-app purchase through the Apple App Store or Google Play, or Stripe.
- 7.3You must not pay, or attempt to pay, the Price by fraudulent or unlawful means. Subject to clause 10 and the Australian Consumer Law, in the absence of fraud or mistake, all payments made are final. If you make a payment by debit card or credit card, you warrant that the information you provide to us is true and complete, that you are authorised to use the debit card or credit card to make the payment, that your payment will be honoured by your card issuer, and that you will maintain sufficient funds in your account to cover the Price.
- 7.4If any payment has not been made as set out on our Platform or in the Terms, we may (at our absolute discretion) refuse to provide, or suspend, the paid product or service concerned.
- 7.5As we offer payment via third party payment processors, such as Apple, Google or Stripe, the payment may be subject to Apple’s, Google’s or Stripe’s terms and conditions.
- 7.6We may from time to time issue promotional discount codes or offers for certain products or services on our Platform. To claim the discount or offer, you must follow the instructions provided with it. The conditions of use relating to promotional discount codes and offers will be specified on our Platform or our website at the time they are issued, or in the off-Platform communication channels, such as text message, phone or email through which the promotional discount code or offer is communicated to you.
- 7.7We may from time to time run competitions on our Platform or associated social media platforms. Such competitions are subject to terms and conditions which will be made available on our Platform at the time of the competition.
8. Prices, Availability and Information
- 8.1All purchases made through our Platform are subject to availability. The prices, specials and product information shown on our Platform are provided for general information and comparison only. They may be estimates, may be based on your postcode or state rather than a particular store, and may not be up to date. The price and availability of an Item at a Store (including in a Store’s online cart) may differ from what is shown on our Platform, and prices shown on our Platform do not include delivery or other fees charged by a Store.
- 8.2The prices and specials shown on our Platform are not an offer by us to sell any Item. If information on our Platform is subject to an error (for example in relation to a description, price or image), we may correct it at any time.
- 8.3Some features of our Platform use artificial intelligence to produce content, such as meal plans, meal ideas, recipes imported from links, text or photos, lists, suggested use-by dates and details read from photos of receipts and bills. Content produced by artificial intelligence may be inaccurate or incomplete. It is general information only and is not medical, dietary or food safety advice. You should check it before relying on it, including the ingredients of each meal and the use-by date on the pack.
9. Delivery and Third Parties
- 9.1We do not deliver Items. If you place an order with a Store after sending your list to the Store’s online cart, the Store (not us) packs, charges for and delivers your order or makes it available for collection, and the Store’s terms about delivery areas, delivery costs, delivery times, substitutions, title and risk apply.
- 9.2Our Platform contains links to the Stores’ websites and to websites and services operated by other third parties, such as comparison services, brokers and providers for energy, broadband, insurance and loans (Partners). We do not control those websites or services and are not responsible for their content, products, prices or terms. Any agreement you enter into with a Partner is between you and that Partner.
- 9.3We may receive a commission or other benefit from a Partner when you follow a link to, or sign up with, that Partner through our Platform.
10. Refunds
- 10.1To the maximum extent permitted by law and subject to our obligations under the Australian Consumer Law, we do not make any representations or warranties in relation to the Platform (including as to whether the Platform or products are or will be fit or suitable for your particular purposes) or our Services, unless expressly stipulated in these Terms.
- 10.2Australian Consumer Law
Nothing in these Terms attempts to modify or exclude the conditions, warranties and undertakings, and other legal rights, under the Australian Consumer Law. In Australia, our goods come with guarantees which cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure. Any and all other warranties or conditions which are not guaranteed by the Australian Consumer Law are expressly excluded where permitted, except to the extent such warranties and conditions are fully expressed in these Terms. - 10.3Where your claim is a valid claim under the Australian Consumer Law, we will provide the remedy you are entitled to under the Australian Consumer Law, which may include a refund of the Price of the relevant product or service. Please contact us for further information.
- 10.414-Day Refund
Users can request a full refund of any charges made for our services within 14 days of the payment being processed. To request a refund, users must contact our customer service team with their order or account details and reason for the refund. Refunds will be processed to the original payment method within 15 days. This refund policy does not apply to exporting your grocery list into supermarkets for Click & Collect or delivery.
11. Intellectual property
- 11.1All intellectual property (including copyright) developed, adapted, modified or created by us or our personnel (including in connection with the Platform, the Terms and the Services) will at all times vest, or remain vested, in us.
- 11.2You must not, without our prior written consent:
- (a)copy or use, in whole or in part, any of our intellectual property;
- (b)reproduce, retransmit, distribute, disseminate, sell, publish, broadcast or circulate any of our intellectual property to any third party; or
- (c)breach any intellectual property rights connected with our Platform, our Services or the products, including (without limitation) altering or modifying any of our intellectual property; causing any of our intellectual property to be framed or embedded in another website; or creating derivative works from any of our intellectual property.
12. Limitations

- (b)access to our Platform will be uninterrupted, error-free or free from viruses; or

- 12.2Despite anything to the contrary, to the maximum extent permitted by law:
- (a)our maximum aggregate liability arising from or in connection with the Terms (including your use of the Platform or our Services, the products and/or the subject matter of the Terms) will be limited to, and must not exceed, the portion of the Price paid by you (whether to us or to Apple, Google or another party collecting payment for us) for the products or services the subject of the relevant claim; and
- (b)we will not be liable to you for any loss of profit (including anticipated profit), loss of benefit (including anticipated benefit), loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings (including anticipated savings), loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity or otherwise.
- 12.3Despite anything to the contrary, to the maximum extent permitted by law, we will have no liability, and you release and discharge us from all liability, arising from or in connection with any:
- (a)loss of, or damage to, Items, or any injury or loss to any person;
- (b)failure or delay in providing Items, the Platform or our Services;
- (c)the acts or omissions of any Store or Partner;
- (d)any Items purchased by you;
- (e)delivery of any order by a Store; or
- (f)breach of the Terms or any law, where caused or contributed to by any: (i) event or circumstance beyond our reasonable control; or (ii) act or omission of you or your related parties,
and, in any event, any defect, error, omission or lack of functionality or suitability (or the absence of, or reduction in, any anticipated result, outcome or benefit) with respect to the Platform, our Services or the products.
13. Collection Notice
- 13.1We collect personal information about you in order to enable you to access and use our Platform, to contact and communicate with you, to respond to your enquiries, to process your purchases and for other purposes set out in our Privacy Policy. If you choose to tell us about dietary needs, allergies or health goals (for example in Meal Plan), you consent to us collecting, using and disclosing that information (including to our artificial intelligence service providers) to provide those features.

- 14.2We may use Google Maps/Earth mapping services, including Google Maps API(s). Any use of Google Maps/Earth is subject to the Google Maps/Google Earth Additional Terms of Service.
15. Notice regarding Apple

- 15.2Apple has no obligation to furnish you with any maintenance and support services with respect to our Platform.
